The Company is headed up by Frans-Johan van Dyk and Wynand Marais, supported by a competent and proficient Board of Directors, each of whom are experts in their respective industries.

Frans-Johan van Dyk

Director

B Compt (Hons), M Com (Tax), CA(SA)

Frans-Johan van Dyk has been involved in various private sector industries over the past 20 years. He served his articles at PricewaterhouseCoopers’ Audit, Accounting, Tax advisory and Transactional Support division in the SME industry, learning about all facets of business, from treasury to the filing of monthly SARS returns.

As a founding partner of FJD & Associates Chartered Accountants and Auditors, he specialises in tax compliance, transactional support, and consulting, particularly to the SME market.

Frans-Johan completed various corporate transactions, buying and selling entities and growing start-up ventures into successful companies. He serves as active director on various boards of typical SME companies where he provides guidance and leadership to grow and expand business activities, as well as guiding the implementation of internal control procedures and corporate governance structures.

Wynand Marais

Director

MCom Finance and Risk Management, BCom (Hons) Financial Analysis and Portfolio Management

Wynand joined TBI Investment Managers in 2012 as a portfolio analyst after working in Maitland Fund Administrators’ Hedge Fund division. During 2015 he was appointed as a portfolio manager. He has experience ranging from the valuation of properties, unlisted and listed investments and managing a fixed income unit trust fund of fund at TBI Investment Managers. Wynand is currently employed as the CEO of 670 Ventures after being employed as a portfolio manager for TBI Strategic Partner since 2016. He is also an Executive Director for TBI Properties (Pty) Ltd.

John Swart

Director

B Compt, MBL, D Com

John obtained the degrees B Compt and MBL from the University of South Africa in 1982 and 1991 and a Doctorate in Business Management in 1999 from the University of Pretoria.

John commenced his career as accountant after completing his articles in 1982 and National Service as Officer in the SANDF in 1984. In 1989, he entered the financial services industry and worked as Senior Financial Adviser (Sanlam Corporate) for 10 years before establishing an independent Wealth management business in 1998. John was a co-founder of the FIRSTGLOBAL Group and founder of FIRSTGLOBAL Capital where he served as CEO and Investment adviser until 2021.

John commenced the investment into commercial properties together with a number of clients / co-investors in 2005 which ultimately led to the formation of LANDMARK PROPERTY INVESTMENTS Ltd in 2016, an unlisted property fund, of which he is the CEO.

In 2018, he co-founded i7 CAPITAL, a Venture Capital Company registered in accordance with Section 12J of the Income Tax Act, which raised capital to be invested in a number of business initiatives in the IT, Food processing and Agricultural sectors. Management of the i7 CAPITAL fund has been outsourced to VENTUREX in 2022 in which John is a non-executive director.

Pierre Tredoux

Director

Pierre completed his articles with Vosloo Meintjies, now PricewaterhouseCoopers, in Stellenbosch.

Pierre joined Pim Goldby, now Deloitte, in 1988 as a management consultant and became a partner in Deloitte Consulting in 1993. Pierre was appointed as CEO of Deloitte Consulting (South Africa) in 1998. Over the years he has advised many International and South African organisations on corporate strategy, structure, mergers and acquisitions, operational and performance improvement, enterprise technology applications and corporate governance. He also served on the Board of Deloitte South Africa’s audit firm as well as various global management teams and boards in the Deloitte network.

In 2005 Pierre founded Barnstone as a start-up incubator and private equity investor. Since then, various new businesses were launched in telecommunications, technology solutions, strategic advisory services, change management, healthcare, education and property development. Since 2014 he has focused on affordable private education, and in a partnership with Old Mutual, Barnstone Education has developed and currently manages five schools.

Pierre is the non-executive chairman of Attacq Ltd, a JSE listed REIT and the owner/developer of Waterfall City, as well as the chairman of Atterbury Property Holdings a leading privately owned property development company. He also chairs the board of the Pretoria Urology Hospital.

Ockert Goosen

Director

BCom (Hons)(Acc), MBA (Wits), CA (SA)

Ockert qualified as a chartered accountant in 1986, completing his articles at Peat, Marwick, Mitchell. He accumulated extensive experience during his 17-year career in investment banking, commencing at Barclays Merchant Bank in 1986 and later at FirstCorp and First National Bank. He joined Real Africa Durolink in 1996 and served as a director of RAD Bank and group companies and as member of management, credit and investment committees. In 2002 he joined Gensec Bank where he headed the securitisation unit in the debt finance division.

Ockert was a founding member of TBI Investment Managers (formerly Ora Fund Managers), from its inception in 2003 and serves as Executive Director and Key Individual. He currently serves as CEO of TBI Strategic Partners and also as a Director of TBI and other subsidiaries and investee companies of the TBI group, including listed companies, Efficient Group and Accéntuate. Ockert has extensive experience in asset management, structured and corporate finance, securitisation, treasury, credit management and managing collective investment schemes.

Bruce Chelius

Director

CA(SA), CFA

Bruce completed his articles at Deloitte, following which he spent time in the Corporate Finance and Private Equity teams of Standard Bank and BoE Bank. In 2004, Bruce established Collins Private Equity where he serves as MD and gained hands on experience running underlying investee companies. Bruce has been a director of a numerous unlisted companies and he currently sits on the boards of Eveready Batteries and Nordland Lighting (where he acts as Chairman). In addition, Bruce is an Independent Non-Executive Director of the JSE listed Mettle Investments where he serves on the Renumeration Committee, Audit & Risk Committee and is the Chairman of the Social & Ethics Committee.

Our Responsibilities

Asset Manager Agreements have been entered into between VentureX and the underlying funds which cover, inter alia, each of the following important responsibilities:

Compliance

To ensure full compliance within the regulatory frameworks of the Financial Sector Conduct Authority (FSCA), the Companies Act, South African Revenue Services (SARS) and the Companies and Intellectual Property Commission (CIPC).

Identify & Select

Potential investment opportunities are researched and scrutinized to ensure suitability and feasibility within each fund’s respective mandate and framework to create an optimal balance between diversification, risk exposure and return. Opportunities are only presented to the investment committee for further investigation and approval once all criteria are met.

Due Diligence

To perform the required due diligence procedures on potential investee companies and business opportunities, inclusive of market and industry research, while adhering to the underlying fund mandates. This is followed by a process to determine the maximum amount at which such an investment should be valued at to achieve and exceed growth targets.

Negotiate

To negotiate and structure optimal investable opportunities in accordance with fund mandates.

Agreements

To ensure that transactions are secured through an accurate and complete legal framework, which includes items such as board representation, protection of minority shareholders’ interests, risk insurance, succession planning and financial reporting standards.

Finalization

To oversee the finalization of transactions, including statutory paperwork, the transfer of shares, the appointment of director/s and signing of resolutions and shareholders agreements.

Monitoring & Reporting

To provide accurate monitoring of and reporting on the financial affairs of investee companies. VENTUREX will also attend investee company board meetings and add value on an ongoing consultative basis.

Portfolio Construction

To ensure a diversified and balanced investment portfolio construction for Funds under management and its shareholders, while continuously managing potential risks.

Exiting Investments & Liquidity

Evaluating appropriate time and value for exiting from investments and negotiating optimum exit value for shareholders. This is followed by executing the sale process, finalizing legal requirements and distribution of proceeds.

This has become key to risk mitigation in turbulent times, a hedge against inflation and most importantly – allow the opportunity of achieving extraordinary returns on such investments.
